Plain-Language Summary

What this means for you:

  • You get access to OSP's source code. You can run it, study it, and modify it for your own use.
  • You can self-host OSP forever, even if you stop being a b-tec customer. Your data stays yours.
  • You cannot redistribute, resell, sublicense, white-label, or build a competing hosted product with this code.
  • Your customer data is yours. b-tec owns the OSP platform code itself.
  • If the relationship ends, you get a full export of your code and database. No lock-in.
  • b-tec earns your business by adding value — not by trapping your data.

1. Definitions

  • OSP — The Open Storage Platform software, including all source code, documentation, configuration files, database schemas, and related materials provided by btec LLC.
  • Customer — The individual or entity that has been granted access to OSP under this License, either through a paid hosted service or direct agreement with b-tec. For hosted customers, the Customer is the entity that controls the Stripe billing account.
  • Authorized Users — Employees, contractors, and agents of the Customer who access OSP on the Customer's behalf. The Customer is responsible for their compliance.
  • Source Code — The human-readable OSP codebase, including but not limited to TypeScript/JavaScript, SQL migrations, configuration files, and build scripts. Excludes third-party dependencies, which remain under their respective licenses.
  • Customer Data — All data stored, processed, or transmitted by the Customer through OSP. This includes tenant records, lease agreements, financial data, facility configurations, audit logs, and any other information the Customer inputs or generates through normal use of the platform.
  • Customer Modifications — Any changes, additions, or derivative works the Customer makes to the Source Code for their own use.
  • b-tec IP — The OSP Source Code, trademarks, branding, documentation, and any improvements b-tec makes to the platform. Customer Data is explicitly excluded from b-tec IP.

2. Grant of License

Subject to these terms, b-tec grants the Customer a non-exclusive, non-transferable, worldwide license during the term of their OSP relationship to:

(a) Use OSP for internal business purposes; (b) View, study, and modify the Source Code; (c) Run OSP on the Customer's own infrastructure or on infrastructure provisioned by b-tec; (d) Create Customer Modifications for the Customer's own use.

This license is perpetual for self-hosted instances. If you stop using b-tec's hosted service, you may continue running your last-received version of the Source Code indefinitely under these same terms.

3. Ownership

3.1 Customer Data

The Customer owns all Customer Data. b-tec claims no ownership, license, or interest in Customer Data beyond what is necessary to provide the service (see Data Processing Addendum). The Customer may export or delete Customer Data at any time, subject to technical constraints of the platform.

3.2 b-tec IP

b-tec retains all right, title, and interest in the OSP Source Code, including all Customer Modifications that are contributed back to b-tec. If you choose to share a bug fix or improvement with b-tec (and we hope you will), that contribution becomes part of b-tec IP.

3.3 Customer Modifications (Unshared)

The Customer retains ownership of Customer Modifications they do not share with b-tec. However, such modifications remain subject to this License — you cannot distribute them outside your organization.

3.4 No Implied Licenses

Nothing in this License grants the Customer any rights to b-tec's trademarks, branding, or trade secrets except as explicitly stated.

4. Restrictions

The Customer may NOT:

(a) Redistribute, sublicense, lease, or sell the Source Code to any third party; (b) Use OSP to build or operate a competing hosted storage management service; (c) White-label OSP — i.e., remove or replace b-tec branding and offer it as your own product; (d) Publish the Source Code publicly or make it available to anyone outside the Customer's organization; (e) Remove or alter any copyright, trademark, or attribution notices in the Source Code; (f) Reverse-engineer the compiled/transpiled output beyond what the provided Source Code already discloses.

These restrictions exist because b-tec's business model depends on customers paying for the value we provide — hosting, maintenance, updates, and support — not on renting access to secret code. If the Source Code were freely redistributed, we couldn't sustain that model.

5. Contributions & Feedback

The Customer may submit bug fixes, improvements, or suggestions to b-tec. By submitting a contribution:

(a) You grant b-tec a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and distribute your contribution as part of OSP; (b) You represent that you have the right to make the contribution; (c) b-tec may (but is not obligated to) incorporate the contribution.

Feedback and suggestions that do not include code are not subject to any ownership claim by b-tec.

6. Termination

6.1 By Customer

The Customer may terminate at any time by stopping use of OSP and deleting their instances. For hosted customers, cancellation of the Stripe subscription constitutes termination.

6.2 By b-tec

b-tec may terminate this License if the Customer materially breaches its terms and fails to cure the breach within 30 days of written notice. Material breach includes unauthorized redistribution, white-labeling, or use of OSP to build a competing product.

6.3 Effect of Termination

Upon termination:

(a) The Customer's right to receive updates ceases; (b) The Customer may retain and continue using the last-received version of the Source Code under these same terms (perpetual self-hosted right); (c) b-tec will provide the Customer with a complete export of their code snapshot and data within 30 days if requested; (d) Provisions regarding ownership (Section 3), restrictions (Section 4), disclaimer (Section 7), and liability (Section 8) survive termination.

7. Disclaimer of Warranty

OSP IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND. b-tec DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OSP IS BETA SOFTWARE. IT MAY CONTAIN BUGS. DO NOT RELY ON IT AS THE SOLE SYSTEM FOR BUSINESS-CRITICAL OPERATIONS WITHOUT INDEPENDENT BACKUP AND VERIFICATION.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, b-tec SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM USE OF OSP. b-tec'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO OSP SHALL NOT EXCEED THE AMOUNT THE CUSTOMER PAID b-tec IN THE 12 MONTHS PRECEDING THE CLAIM. FOR BETA CUSTOMERS WHO HAVE NOT YET PAID, THE CAP IS $1.

9. Governing Law

This License is governed by the laws of the State of Illinois. Any disputes shall be resolved in the courts of Kankakee County.
