Plain-Language Summary
What this means for you:
- This is a beta service. There is no uptime SLA. Things may break. We'll fix them.
- You bring your own Stripe account for your billing with your customers. You control your payment relationship.
- You get your own isolated OSP instance. Your data is in your database, not mixed with anyone else's.
- You can leave anytime. We'll give you your code and a full database export.
- If you breach the terms, we give you 30 days to fix it before termination.
- b-tec handles maintenance and updates. You handle your credentials, your Stripe, and using the platform lawfully.
- We earn your business by keeping the platform running well.
1. Acceptance
By creating an OSP account or using the hosted service, you ("Customer," "you") agree to these Hosted Service Terms, the Source-Available License, the Privacy Policy, and the Data Processing Addendum (together, the "Agreement").
If you are entering this Agreement on behalf of a company, you represent that you have authority to bind that company.
2. The OSP Hosted Service
2.1 What We Provide
b-tec will provision and maintain a dedicated, isolated OSP instance for you. This includes:
- A dedicated PostgreSQL database (via Neon), logically isolated with Row-Level Security
- A Next.js application instance hosted on Vercel
- Automated database migrations and platform updates
- Background job processing via Inngest
- Transactional email delivery via Resend
2.2 Beta Service — No SLA
OSP is in beta. This means:
- We do not guarantee uptime, response times, or data durability beyond what our infrastructure providers (Vercel, Neon) promise.
- Features may change, break, or be improved based on feedback.
- We provide best-effort support during business hours.
- You should maintain independent backups of critical data.
2.3 Maintenance & Updates
b-tec may deploy updates to OSP from time to time. We aim to:
- Apply non-breaking updates without notice (bug fixes, security patches, minor improvements)
- Notify you at least 48 hours in advance for updates that may cause downtime during non-business hours.
- Provide release notes for significant changes
- Maintain backward compatibility for your data and API access where feasible
You do not need to take action for hosted updates — we handle them.
3. Customer Responsibilities
3.1 Stripe Account
You must maintain your own Stripe account and connect it to OSP for payment processing. b-tec does not have access to your Stripe dashboard or funds beyond what Stripe's Connect platform exposes for billing purposes. You are responsible for:
- Keeping your Stripe account in good standing
- Ensuring accurate pricing and payment configurations within OSP
- Handling payment disputes with your tenants/customers directly
3.2 Credential Security
You are responsible for:
- Choosing strong passwords and keeping them confidential
- Managing Authorized User accounts and access levels
- Revoking access promptly when someone leaves your organization
- Securing any API keys issued to you
b-tec will never ask for your password or other sensative data via email. Report suspicious activity to b@btec.me.
3.3 Lawful Use
You agree not to use OSP for:
- Any activity that violates applicable law
- Storing or processing data you do not have the legal right to handle
- Any use that infringes third-party intellectual property
- Sending spam or unsolicited communications through the platform
- Any activity that could damage, disable, or impair OSP or its infrastructure
3.4 Data Responsibility
You are responsible for the Customer Data you store in OSP, including its accuracy, legality, and any consents required for its collection and use. See the Privacy Policy for details.
4. Payment & Billing
4.1 Pricing
OSP beta pricing: Contact b@btec.me for demo access or a free trial. OSP is custom software and is available through a quote.
4.2 Billing
Billing for you customers is handled through your own Stripe account. b-tec's fees (if any) are indicated in a service agreement and on invoice(s).
4.3 Taxes
You are responsible for all applicable taxes. b-tec will charge applicable sales tax if required by law.
5. Intellectual Property
The Source-Available License governs all IP rights. This Agreement does not transfer any ownership interest. Key points restated:
- You own your Customer Data
- b-tec owns the OSP platform code
- You may run and modify the code for your own use indefinitely
6. Confidentiality
6.1 Definition
"Confidential Information" means non-public information disclosed by one party to the other, including the Source Code (b-tec) and Customer Data (you). It does not include information that is publicly available, independently developed, or rightfully received from a third party.
6.2 Obligations
Both parties agree to protect the other's Confidential Information using at least reasonable care, and to use it only for purposes of this Agreement.
7. Termination
7.1 By Customer
You may terminate at any time. For the hosted service, this means notifying b-tec at b@btec.me.
7.2 By b-tec
b-tec may terminate this Agreement: (a) For convenience, with 60 days written notice including instructions to continue independent. (b) For material breach, with 30 days written notice and opportunity to cure (c) Immediately, if required by law or if your continued use threatens the security or stability of the platform
7.3 Transition Assistance
Upon termination:
- b-tec will provide a full pg_dump export of your database within 10 business days
- b-tec will provide the current snapshot of the OSP Source Code you were running
- You may continue self-hosting under the Source-Available License
- b-tec will delete your hosted instance data within 90 days of termination
- If you need help with migration, migration assistance may be available.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, b-tec'S TOTAL LIABILITY FOR ANY CLAIM UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS YOU PAID b-tec IN THE 12 MONTHS PRECEDING THE CLAIM. b-tec IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
BETA-SPECIFIC ACKNOWLEDGMENT: You acknowledge that OSP is beta software and accept the risks inherent in using pre-release software.
9. Disclaimer
THE OSP HOSTED SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." b-tec DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NO ADVICE OR INFORMATION FROM b-tec CREATES A WARRANTY.
10. Governing Law
This Agreement is governed by the laws of Illinois. Disputes shall be resolved in Kankakee County.
11. General
- Entire Agreement: These terms, together with the referenced documents, constitute the entire agreement.
- Amendments: We may update these terms with 30 days notice to active customers.
- Severability: If any provision is unenforceable, the rest remains in effect.
- No Waiver: Failure to enforce a right is not a waiver.
- Assignment: You may not assign this Agreement without b-tec's consent. b-tec may assign this Agreement in connection with a merger, acquisition, or sale of assets.
- Force Majeure: Neither party is liable for failures caused by events beyond reasonable control.
